1. About This Disclaimer

This Listings Disclaimer ("Disclaimer") applies to all business listings, directory entries, profiles, lead-generation results, and related content (collectively, "Listings") that appear on or through https://mercoly.com and any associated pages, subdomains, applications, and services (the "Platform"), operated by Mercoly ("Mercoly", "we", "us", or "our"). By accessing, browsing, or otherwise using the Platform or any Listing, you acknowledge that you have read, understood, and agreed to this Disclaimer. If you do not agree, do not use the Platform or rely on any Listing.

This Disclaimer supplements, and is incorporated into, our Terms of Service and Privacy Policy. To the extent of any conflict regarding Listings specifically, this Disclaimer controls.

2. Mercoly Is a Neutral Platform Only

Mercoly operates a nationwide online business directory, multi-vendor marketplace, and lead-generation platform that connects customers and buyers ("Buyers") with independent, third-party businesses and sellers ("Businesses" or "Sellers"). Mercoly is a neutral venue, intermediary, and technology provider only. Mercoly is not the seller, manufacturer, importer, distributor, or provider of any product or service described in any Listing, does not take title to any goods, and is not a party to any transaction, communication, agreement, or relationship between a Buyer and a Seller.

The presence of a Listing on the Platform means only that an entry exists in our directory or marketplace. It does not mean Mercoly created, supplied, controls, supervises, sponsors, or stands behind the business, product, or service described.

3. Many Listings Are Auto-Generated and Unverified

A substantial portion of Listings on the Platform are automatically created from public, open, or third-party business data sources — including, for example, public records, business registries, mapping and directory data, and other openly available information. Mercoly compiles and displays this information for convenience and discovery purposes only.

You expressly acknowledge and agree that:

• Auto-generated Listings are UNVERIFIED. Mercoly does not independently confirm, vet, screen, audit, or validate the accuracy, completeness, currency, legitimacy, licensing, or qualifications of any business, person, product, or service.
• Listing information may be inaccurate, outdated, incomplete, mislabeled, duplicated, or wholly incorrect, including business names, addresses, phone numbers, hours, categories, descriptions, pricing, images, ratings, and contact details.
• A business referenced in a Listing may no longer be operating, may have changed ownership or location, or may never have authorized or been aware of the Listing.
• Mercoly does not guarantee that any business will respond to an inquiry, fulfill any request, or provide any product or service.

Listings, ratings, reviews, and lead-generation outputs are provided "AS IS" and "AS AVAILABLE," without any verification or quality assurance by Mercoly.

4. No Endorsement; No Relationship Implied

The existence or display of a Listing is not an endorsement, recommendation, certification, sponsorship, affiliation, approval, or guarantee by Mercoly of the listed business or of any product, service, claim, credential, review, or representation associated with it. Mercoly does not endorse, vet, or vouch for any Seller, Business, Buyer, listing, product, service, review, or content.

A Listing does not create, evidence, or imply any partnership, joint venture, agency, employment, franchise, sponsorship, or other relationship between Mercoly and the listed business. The listed business is not Mercoly's agent or representative, and Mercoly is not the agent or representative of any listed business. No business listed on the Platform is authorized to make any representation, warranty, or commitment on Mercoly's behalf.

5. No Responsibility for Accuracy, Businesses, Products, or Services

Mercoly is not responsible or liable for the accuracy, reliability, legality, quality, safety, or availability of any Listing or of any business, product, or service referenced in a Listing. All transactions, communications, scheduling, fulfillment, support, warranties, returns, refunds, and disputes are solely between the Buyer and the Seller. Sellers and listed businesses are solely responsible for their own listings, products, services, pricing, fulfillment, customer service, taxes, licenses, and full legal compliance — including their own returns, refund, shipping, warranty, privacy, and age/legal-restriction policies.

To the fullest extent permitted by applicable law, and consistent with applicable intermediary protections (including Section 230 of the Communications Decency Act, 47 U.S.C. § 230, where applicable), Mercoly disclaims all liability arising from or relating to Listings or third-party content, including any reliance you place on such information.

6. Use at Your Own Risk; Independent Verification

Your use of the Platform and any reliance on a Listing is entirely at your own risk. Before contacting, hiring, purchasing from, or transacting with any listed business, you are solely responsible for independently verifying all relevant information, including the business's identity, licensing, insurance, qualifications, reputation, pricing, terms, and the suitability, safety, and legality of any product or service. Mercoly strongly encourages you to confirm details directly with the business and through official sources before relying on a Listing.

7. How to Claim, Correct, or Remove a Listing

Mercoly respects the interests of the businesses we list. If you are the owner of, or an authorized representative for, a listed business, you may claim, edit, update, or request removal of your Listing at any time. To do so, contact us at support@mercoly.com and include:

• The exact business name and the URL or location of the Listing on the Platform;
• The specific information you wish to correct, update, or remove;
• Your name, role, and relationship to the business; and
• Reasonable verification that you are authorized to act on behalf of the business.

We will review verified requests and, where appropriate, correct or remove the Listing within a reasonable time. Mercoly may also modify, suspend, or remove any Listing, content, or account at its sole discretion, with or without notice. Submitting a claim or correction request does not create any obligation, agreement, or relationship between you and Mercoly beyond the handling of that request, and does not waive any rights or protections described in this Disclaimer.

Note: Correcting or updating information in a Listing does not constitute Mercoly's verification or endorsement of that information; the business remains solely responsible for its accuracy.

8. No Professional Advice

Listings and all content on the Platform are provided for general informational and directory purposes only and do not constitute professional, legal, financial, tax, accounting, medical, health, safety, or other expert advice. Nothing on the Platform should be relied upon as a substitute for advice from a qualified, appropriately licensed professional. The inclusion of a business in any category (including professional, medical, financial, or legal categories) is not a representation that the business is licensed, insured, qualified, or fit to provide any particular service. Always consult a suitably qualified professional before acting on any information found on the Platform.

9. Third-Party Trademarks and Intellectual Property

Business names, logos, brands, trademarks, service marks, trade dress, and other intellectual property displayed in Listings are the property of their respective owners. Their appearance on the Platform is for identification, reference, and informational purposes only and does not indicate any affiliation with, sponsorship by, or endorsement of or by Mercoly. Mercoly claims no ownership of third-party marks. All such rights remain with their respective owners.

If you believe a Listing infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at support@mercoly.com. Trademark, right-of-publicity, defamation, and other intellectual-property or rights-based concerns regarding a Listing may also be directed to support@mercoly.com.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform, all Listings, and all directory, marketplace, and lead-generation content are provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. Mercoly expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade. Mercoly does not warrant that Listings are accurate, complete, current, reliable, lawful, or error-free, or that the Platform will be uninterrupted or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Mercoly and its affiliates, officers, directors, employees, and agents will not be liable for any loss or damage arising out of or relating to any Listing, any reliance on Listing information, or any dealings, transactions, conduct, products, or services of any listed business or any Buyer or Seller. This includes any indirect, incidental, special, consequential, exemplary, or punitive damages, and any loss of profits, revenue, data, goodwill, or business opportunity, whether based in contract, tort, statute, or otherwise, even if advised of the possibility of such damages.

To the extent Mercoly is found liable notwithstanding the foregoing, its total aggregate liability arising out of or relating to Listings will not exceed the greater of the amount of fees, if any, you paid to Mercoly for use of the Platform in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Release and Indemnification

Mercoly is not a party to and is not responsible for any dispute between a Buyer and a Seller or with any listed business. You release Mercoly and its affiliates and personnel from any and all claims, demands, liabilities, and damages of every kind arising out of or connected with such disputes, any Listing, or any transaction or interaction with a listed business. You agree to indemnify, defend, and hold harmless Mercoly and its affiliates and personnel from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of or reliance on any Listing, your content or business activity, or your violation of this Disclaimer or applicable law.

13. Changes and Contact

Mercoly may update this Disclaimer at any time by posting a revised version on the Platform. Continued use after changes constitutes acceptance. This Disclaimer is governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles.
